Important — Please Read Before Purchasing This Contract Documentation sets out the specific terms that apply to your purchase of the Qwikify DSCR (Digital Social Care Records) Solution. Together with the Qwikify Platform Terms and Conditions, it forms a legally binding Contract between you and Qwikify. Please read it carefully and download a copy for your records before completing your purchase.

This document is distinct from Platform Materials (tutorials, videos, FAQs and other informational content), which are provided for guidance only and are not legally binding.

 

Part 1 — About this Document

This Contract Documentation applies to the DSCR Solution offered by Mycareadmin Limited t/a Qwikify (company number 09394841). Capitalised terms used in this document have the meanings given to them in the Qwikify Platform Terms and Conditions.

This document may be updated from time to time in accordance with clause 18.1 of the Terms. The version currently published on the Platform is the version that applies to your Contract.


Part 2 — Eligibility and Qualifying Criteria

2.1 Who can use the DSCR Solution

The DSCR Solution is available to the following categories of organisation operating in the United Kingdom:


  1. Registered care providers — organisations registered with the relevant regulatory body in their jurisdiction, including the Care Quality Commission (CQC) in England, the Care Inspectorate in Scotland, the Care Inspectorate Wales (CIW), or the Regulation and Quality Improvement Authority (RQIA) in Northern Ireland. Registered care providers may access all DSCR Products for which they otherwise meet the eligibility criteria;

  2. Unregistered and unregulated care providers — organisations providing care services that are not required to be registered with a regulatory body, including but not limited to live-in care providers and personal assistants. Unregistered and unregulated care providers may access DSCR Products, subject to meeting the eligibility criteria applicable to each Product and feature, which may include requirements for regulatory registration or accreditation; and

  3. in all cases, organisations that operate lawfully, hold all licences, registrations, approvals and consents required to provide care services under applicable law, and agree to use the DSCR Solution solely for the permitted purpose set out in clause 2.4.


2.2 Ongoing eligibility

The Client must continue to meet the qualifying criteria in clause 2.1 throughout the Term. If the Client ceases to meet these criteria at any time (for example, if the Client’s registration with the relevant regulatory body is suspended, withdrawn or lapses), the Client must notify Qwikify immediately. Qwikify reserves the right to suspend or terminate the Client’s access to the DSCR Solution in accordance with clause 16.3(c) of the Terms.


2.3 Authorised Users for the DSCR Solution

Authorised Users for the DSCR Solution may include:


  1. employees, contractors and agency staff of the Client who are involved in the delivery or management of care services;

  2. external health or social care professionals (such as GPs, district nurses or social workers) who are authorised by the Client to access relevant records in connection with the care of specific service users;

  3. [Pending implementation:] family members or nominated representatives of service users or residents, where the Client has set up a family portal account for them and obtained the appropriate consents.


2.4 Permitted purpose

The DSCR Solution is provided solely for the purpose of managing and recording the care and support provided to the Client's service users, residents and patients, and for associated HR and operational functions directly connected to the provision of care. The Client must not use the DSCR Solution for any other commercial purpose, including but not limited to competitor analysis, benchmarking for commercial gain, reverse engineering of any features or functionality, or any purpose unconnected to the direct provision of care services. Any such use is strictly prohibited and will be treated as a material breach of the Contract entitling Qwikify to terminate immediately in accordance with clause 16.3(a) of the Terms.

The Client is responsible for ensuring that all Authorised Users comply with these Terms and this Contract Documentation, and for revoking access for any individual who is no longer authorised.


Part 3 — Products

3.1 Available Products

The DSCR Solution currently includes the following subscription Products. Full details of the features, functionality and usage limits applicable to each Product are set out in Part 5 of this document. Qwikify may update the available Products from time to time in accordance with clause 10.8 of the Terms.

3.2 Optional Extras

3.3 Initial Term

Unless otherwise agreed between the Parties, the Initial Term for each subscription Product is as selected by the Client at the time of purchase:

  • Monthly (1 month, renewing monthly)

  • Annual (12 months, renewing annually)


3.4 Fees

Fees for each Product are as displayed on the Platform at the time of purchase. Fees are stated exclusive of VAT. Qwikify may increase Fees in accordance with clause 10.7 of the Terms.


3.5 Enterprise eligibility.

The DSCR Enterprise Product is available only to Clients with a subscription for more than 50 active care profiles. Clients with a subscription for 50 or fewer active care profiles must use the self-service onboarding and billing process and are not eligible to purchase the DSCR Enterprise Product through the Platform. This threshold may be updated by Qwikify from time to time, in which case existing Enterprise Clients will not be affected until their next renewal. For the avoidance of doubt, the DSCR Enterprise Product is subject to a separate written agreement and is not governed by these Terms.


Part 4 — Billing Model

4.1 Per-profile billing.

Fees for DSCR subscription Products are calculated on a per-profile basis. A profile represents a single service user, resident or patient record held within the Platform. The number of profiles purchased by the Client determines the maximum number of active profiles that may be maintained at any time, as set out in the usage limits table in Part 5.


4.2 Active profiles.

An active profile is a profile in respect of which the Client is able to create, update and add to records. The number of active profiles the Client may maintain at any time is limited to the number of profiles included in the Client's subscription, as set out in the Contract Documentation.


4.3 Inactive profiles.

When a service user, resident or patient is discharged or no longer receiving care from the Client, their profile may be marked as inactive. An inactive profile becomes read-only — no further updates or additions can be made to it, but the record remains accessible for reference and regulatory purposes. The maximum number of inactive profiles the Client may hold is subject to a fair usage limit as set out in the usage limits table in Part 5. Where the Client exceeds this limit, Qwikify may apply additional charges for excess inactive profiles at the rates set out on the Platform from time to time.


4.4 Purchasing additional profiles.

The Client may at any time purchase additional active profiles through the Platform. Additional profiles will be charged at the per-profile rate applicable to the Client's current Product tier, pro-rated for the remainder of the then-current Term in accordance with clause 10.5 of the Terms.


4.5 Reducing profiles.

The Client may reduce the number of profiles in its subscription at the end of the then-current Term in accordance with clause 10.6 of the Terms. Profile reductions will not take effect mid-Term. The Client is responsible for ensuring that its active profile usage does not exceed the reduced limit from the point at which the reduction takes effect.


Part 5 — Features and Usage Limits

5.1 Feature Comparison by Product

5.2 Usage Limits and Service Quotas

The following usage limits apply to each subscription Product. Additional usage credits may be purchased as an optional extra.

The usage limits and service quotas set out in this table may be updated by Qwikify from time to time, for example to reflect improvements to the Platform or changes in operating costs. Qwikify will use reasonable endeavours to give the Client not less than 30 days' prior notice of any material reduction in a usage limit or service quota.

For the avoidance of doubt, changes to the usage limits and service quotas set out in this table do not constitute a Substantial Change for the purposes of the Terms and will not give rise to a right for the Client to terminate the Contract. The Client's right to downgrade or not renew at the end of the then-current Term in accordance with clauses 10.6 and 16.1 of the Terms is not affected.


5.3 Usage Credits and Extra Usage

What are Usage Credits? 

Usage Credits are the unit of consumption used across credit-consuming features of the Platform, including documents generated and approved and AI-assisted features.


Included Usage Credits

Each subscription Product includes a monthly allocation of Usage Credits as set out in the usage limits table in clause 5.2. Included Usage Credits do not roll over at the end of each billing period. Unused included Usage Credits are non-refundable on termination or downgrade.


Extra Usage

Extra Usage allows the Client to continue using credit-consuming features after exhausting its monthly included allocation, without interruption. Extra Usage is disabled by default and must be enabled by the Client in its account settings. The Client may enable or disable Extra Usage at any time.


Prepaid Balance

Extra Usage operates on a prepaid basis. To use Extra Usage, the Client must maintain a prepaid balance by adding funds via the Platform. Usage Credits consumed beyond the included monthly allocation will be deducted from the Client's prepaid balance at the rates published on the Platform from time to time. Qwikify will notify the Client of any changes to Usage Credit rates in accordance with clause 18.1 of the Terms.


Spending Cap

The Client's prepaid balance acts as its spending cap for Extra Usage. Once the prepaid balance is exhausted, Extra Usage will be blocked until further funds are added. Qwikify will use reasonable endeavours to complete any action already in progress at the point the balance is exhausted, but cannot guarantee completion in all cases.


Auto Top-Up

The Client may configure an auto top-up threshold in its account settings. Where auto top-up is enabled, funds will automatically be added to the Client's prepaid balance when it falls below the configured threshold, at the amount specified by the Client.


Non-refundable

Prepaid balance funds are non-refundable on termination or downgrade, except where required by applicable law.


5.4 Minimum Technical Requirements

The DSCR Solution requires the following minimum technical specifications. The Client is responsible for ensuring that its network and systems meet these requirements in accordance with clause 9.1(e) of the Terms.


  • Recommended Browser: Google Chrome or Apple Safari (latest version)

  • Recommended Operating System: Windows 11 or MacOS (latest version)

  • Recommended Network Bandwidth: A broadband internet connection with a minimum download speed of 10 Mbps and upload speed of 2 Mbps is required. For sites with multiple concurrent users, higher speeds are recommended. Minimum latency of under 100ms is recommended for optimal performance.


Part 6 — AI & Automation Features

6.1 AI use in the DSCR Solution

The DSCR Solution may incorporate AI tools,  AI agents and other Automation features, including features to assist with creating, reviewing and updating care records and assessments, anomaly detection, and other functions as described in the Platform Materials from time to time.


6.2 Clinical judgement

AI and other generated outputs produced within the DSCR Solution are provided as suggestions or drafts only and must not be relied upon as a substitute for professional clinical or care judgement. The Client is responsible for ensuring that all Authorised Users understand this limitation and review and verify all AI and other generated outputs before using them in clinical, regulatory or any other contexts. The exclusion of liability for AI and other generated outputs set out in the Terms applies in full to all AI and automation features within the DSCR Solution.


6.3 GP Connect

Use of GP Connect is subject to the following eligibility requirements, all of which must be met and maintained throughout the period of use:

  1. the Client must be a CQC-registered care provider (or registered with the equivalent regulatory body in Scotland, Wales or Northern Ireland);

  2. the Client must hold a current Data Security and Protection Toolkit (DSPT) accreditation at the standard required by NHS England from time to time; and

  3. the Client must have completed and be operating in compliance with the NHS Data Sharing Agreement applicable to GP Connect, as published by NHS England from time to time.

The Client is responsible for obtaining and maintaining all three of these requirements. Qwikify reserves the right to disable the Client's access to GP Connect immediately and without refund if the Client ceases to meet any of these requirements. Qwikify makes no warranty that GP Connect access will be available to all Clients and access is subject to approval by NHS England. Use of GP Connect is also subject to the GP Connect usage policy published by NHS England, which the Client is responsible for reading and complying with.


Part 7 — Customer Support

7.1 Support for the DSCR Solution

The following support services are included with each DSCR subscription Product at no additional cost:

7.2 Support hours

Support services are available during the following hours: Monday to Friday, 9am–5pm, excluding Bank Holidays in England.


7.3 Freemium and trial users

Support services described in this Part 7 apply to paid subscription Products only. Clients using the Freemium Services or accessing the Platform on a free trial basis have access to Platform Materials only and are not entitled to support tickets, live chat or phone support.


Part 8 — Data Protection (DSCR Solution)

8.1 Sub-processors

Qwikify uses the following categories of sub-processors in connection with the DSCR Solution:

  • Amazon Web Services (AWS) - Cloud hosting, infrastructure and data storage for the DSCR Solution

  • Amazon Cognito (AWS) - User authentication and identity management

  • Amazon Bedrock (AWS) - AI model infrastructure, including Anthropic Claude and other models as added from time to time

  • GP Connect (NHS England) - Integration with NHS GP-held patient records, subject to eligibility

  • Stripe – Payment processing.

  • Zendesk - Customer support platform, support tickets may contain Client Data

  • Hubspot – CRM and marketing.

  • Sentry - error monitoring and logging, logs may contain Client Data


Part 9 — Additional Services for the DSCR Solution

The following Additional Services may be made available for the DSCR Solution. Terms applicable to each Additional Service will be agreed between the Parties at the time of purchase and, where applicable, set out in a separate statement of work or order form.

9.1 Fees for Additional Services

Fees for Additional Services will be as agreed between the Parties at the time of purchase and will be payable in accordance with clause 10.2 of the Terms.


9.2 No guarantee of outcomes

Additional Services such as consultancy, data migration and custom template development are provided on a reasonable endeavours basis. Qwikify does not guarantee any particular outcome from the provision of Additional Services.


Part 10 — Platform Availability

10.1 Target availability

Qwikify targets availability of the DSCR Solution of 99.9% per calendar month (excluding planned and emergency maintenance windows). This is a target only and does not constitute a contractual SLA. Qwikify does not guarantee uninterrupted access to the DSCR Solution.


10.2 Planned maintenance

Qwikify will use reasonable endeavours to provide advance notice of planned maintenance via the Platform or by email.


10.3 Status page

Qwikify maintains a platform status page at https://qwikify.betteruptime.com/, where Clients can check current and historical availability information.


Part 11 — Backup and Data Recovery

11.1 Backup policy

Qwikify performs backups of Client Data in accordance with its Back-Up Policy. Key parameters for the DSCR Solution are:

11.2 Limitations

Qwikify’s sole obligation in respect of data loss is to restore Client Data from the most recent available backup. Qwikify is not liable for any data loss beyond the recovery point described above, or for data loss caused by Client actions (including accidental deletion by Authorised Users).
